The Manly-Warringah Sea Eagles "Family" at the senior level is made up of three (3) separate legal entities, each with their own Constitution and Board of Directors.

Manly-Warringah Sea Eagles Limited

  • Privatised company that holds the NRL Licence and participates in the National Rugby League (NRL) competition.
  • Contracts players, coaches and administration staff, conducts Game Days at Brookvale Oval, provides Corporate Hospitality and Sponsorship opportunities, markets and sells merchandise and membership, and operates the websites http://www.manlyseagles.com.au/ and http://www.seaeaglekids.com/.
  • Public Company Limited by Shares.
  • Three shareholders - Manly-Warringah Football Club, Surfside (Max Delmege) and Penn Sport.

Manly-Warringah Rugby League Football Club Limited

  • Public Company Limited by Guarantee (ie no shareholders).
  • Membership based company to which the Life Members and Members belong.
  • Owns 16.97% of the ordinary shares in the Manly-Warringah Sea Eagles Limited.
  • Holds one Preference Share in the Manly-Warringah Sea Eagles Limited giving the members of the Football Club ownership of the Name and Colours.  The preference share guarantees no less than 10 home games at Brookvale Oval.

Manly-Warringah Rugby League Club Limited

  • Registered Club operating licensed premises at 563 Pittwater Road, Brookvale.
  • Provides entertainment and facilities to League Club members and guests.
  • Facilities include Brasserie 563, Lyon's Den Sports Bar, bars, function rooms & poker machines.
  • Long time Major Supporter of the Manly-Warringah Sea Eagles.

20 November 1946
Inaugural meeting of the Manly-Warringah District Rugby League Football Club.

3 June 2004
At an Extraordinary General Meeting of the Manly-Warringah District Rugby League Football Club Limited, the Members approve various Special Resolutions to effect the privatisation of the Football Club.

Members approve the Football Club changing its name to Manly-Warringah Sea Eagles Limited.

7 June 2004
Manly-Warringah Rugby League Football Club Limited is incorporated as a Company Limited by Guarantee (the "New Football Club")

3 August 2004
ASIC approves the change of the Manly-Warringah Sea Eagles Limited from a Company Limited by Guarantee to a Company Limited by Shares.

Manly-Warringah Rugby League Football Club Limited is issued with 2,000,000 ordinary shares in the Manly-Warringah Sea Eagles Limited.

Manly-Warringah Rugby League Football Club Limited is issued with 1 preference share in the Manly-Warringah Sea Eagles Limited, giving the Football Club control of the name, colours, emblem and home ground location of the Manly-Warringah Sea Eagles Limited.

11 August 2004
Max Delmege (through his nominated company) acquires 1,640,000 ordinary shares in the Manly-Warringah Sea Eagles Limited.

Penn Sport Pty Ltd acquires 100,000 ordinary shares in the Manly-Warringah Sea Eagles Limited.

Manly-Warringah Rugby League Club Ltd ("Leagues Club") completes $1,000,000 propagation grant to the Manly-Warringah Sea Eagles Limited for Season 2004.

18 May 2005
Manly-Warringah Rugby League Football Club Limited acquires a further 50,000 ordinary shares in the Manly-Warringah Sea Eagles Limited from the proceeds of the Membership drive, taking its total shareholding to 2,050,000 ordinary shares and 1 preference share.

14 September 2005
Manly-Warringah Rugby League Football Club Limited acquires a further 25,000 ordinary shares in the Manly-Warringah Sea Eagles Limited from the proceeds of the Membership drive, taking its total shareholding to 2,075,000 ordinary shares and 1 preference share.

31 October 2005
Max Delmege (through his nominated company) completes his acquisition of shares in the Manly-Warringah Sea Eagles Limited in accordance with the privatisation deal, raising his total shareholding to 3,500,000 ordinary shares.

Manly-Warringah Rugby League Club Ltd ("Leagues Club") completes $1,000,000 propagation grant to the Manly-Warringah Sea Eagles Limited for Season 2005.

25 January 2006
Penn Sport Pty Ltd acquires 3,825,000 ordinary shares in the Manly-Warringah Sea Eagles Limited, taking its total shareholding to 3,925,000 ordinary shares.

Max Delmege (through his nominated company) acquires 425,000 ordinary shares in the Manly-Warringah Sea Eagles Limited, taking his total shareholding to 3,925,000 ordinary shares.

Penn Sport Pty Ltd acquires 2,168,266 ordinary shares in the Manly-Warringah Sea Eagles Limited, taking his total shareholding to 6,093,266 ordinary shares (40%).

Max Delmege (through his nominated company) acquires 2, 168,266 ordinary shares in the Manly-Warringah Sea Eagles Limited, taking his total shareholding to 6,093,266 ordinary shares (40%).

Manly-Warringah Rugby League Football Club Limited acquires 100,000 ordinary shares in the Manly-Warringah Sea Eagles Limited, taking his total shareholding to 2,250,000 ordinary shares (14.8%).

Manly-Warringah Rugby League Club Ltd acquires 800,000 ordinary shares in the Manly-Warringah Sea Eagles Limited, representing 5.2% of the ordinary shares.

It is noted that Manly-Warringah Rugby League Club Ltd has made a commitment to acquire a further 533,333 ordinary shares on or before 31October 2010.
